Brian Alton

Brian Alton

Brian Alton is a seasoned CFO with more than 20 years of diverse financial and operational leadership experience in technology and entrepreneurial firms, including start-ups, high-growth and turnaround companies. Most recently, Alton was a CFO consultant for venture-backed start-ups including Ignite Technologies. Prior, Alton served as CFO of Cyneta Networks.

Prior to joining Cyneta, Alton was president of the restaurant solutions group of Ez2get.com in Dallas, Texas, where he was responsible for the development, sales and support of several software products used by the restaurant industry. He previously was president and CEO of IntegraTRAK, Inc., a specialty telemanagement software company located in Bellevue, Washington. During his tenure with that company, he achieved growth in sales and operating profits leading to the successful sale of the company.

Prior experience includes work as an associate at Smith Rede Capital, a private investment firm, where he provided portfolio companies with a variety of services such as the evaluation of new investment opportunities, capital raising, and management and financial consulting services. He also has been the CFO of a $200M manufacturing firm, the CFO, corporate secretary, and co-owner of a $14M chain of private career schools in the Pacific Northwest, and a vice president at First Interstate Bank of Oregon, where he specialized in corporate lending programs.

Alton earned a BA, Summa Cum Laude, Economics, from Washington State University.

Buddy Barmes was named Chief Financial Officer at RF Monolithics in December 2001. Prior to joining RFM, Buddy was a Mentor at STARTech Early Ventures and a consultant to TeleCentric, Inc. Buddy hopes to contribute to the success of RFM with his financial, investor and systems experience. Previously, Buddy was a successful financial executive for twelve years, holding various positions at DSC Communications Corporation and Alcatel USA, Inc. Buddy holds a Bachelor's degree in Finance from the University of Mississippi.

Professional experience

Edward Cavazos is a Principal in Fish & Richardson's Austin office. His wide-ranging practice includes representing clients in general business and corporate transactions and in complex technology-related deals involving intellectual property. He routinely counsels his clients regarding general corporate, licensing, and labor and employment matters, as well as a variety of related issues. He has advised clients in the Internet, software, hardware, aerospace and semiconductor industries. He also has experience in media and entertainment law. In addition to his broad transactional practice, he has extensive civil jury trial experience in both state and federal courts where he has litigated disputes involving trade secrets, copyright, trademarks, breach of contract and Internet-related claims.

Mr. Cavazos is a nationally recognized authority on e-commerce and high-tech legal issues. Until 2000, he was Senior VP, General Counsel, and later Senior VP, Legal and Business Affairs, of Interliant, Inc., a pioneering Internet application service provider and Web hosting firm that went public in July of 1999. Mr. Cavazos also teaches "Software Licensing" at the University of Texas School of Law and "Digital Distribution" as part of the St. Edward's University School of Management and Business MBA in Digital Media Management program.

 

Transactional experience

  • Represented security software company in negotiating major OEM, License and Distribution agreement.

  • Represented state agency in major procurement of e-mail outsourcing services.

  • Advised several clients on internet content syndication and distribution arrangements involving major on-line portals (AOL, MSN, Yahoo!, etc.).

  • Handled complex intellectual property issues arising in the context of the acquisition of a

  • semiconductor company.

  • Assisted various technology companies in planning for and negotiating venture capital financings.

  • Assisted client in planning and creating a computer hardware distribution and reseller program, and drafted and negotiated related agreements.

  • Represented aerospace company in commercializing and licensing technologies related to space exploration.

  • Developed terms of use and privacy policy for consumer-focused internet business.

  • Negotiated a technology transfer agreement for a nanotechnology company under which the company licensed various nanotechnology patents from the University of Texas at Austin.

  • Negotiated music license related to use of client’s original compositions in a major motion picture.

  • Represented venture capital firm with regard to intellectual property matters related to potential investment opportunity.

  • Advised client on starting and funding a computer game company.

  • Litigated breach of contract/license lawsuit arising out of a custom software development agreement.

  • Successfully defended defense contractor in a federal court jury trial involving claims of employment discrimination.

  • Advised clients on matters involving unsolicited commercial e-mail (spam) disputes.

  • Represented client in trademark litigation against major telecommunication/data network

  • company resulting in large settlement favorable to client.

  • Handled multiple state court matters involving claims of defamation and business disparagement

  • by anonymous participants on internet discussion boards/chat rooms.

  • Assisted client in prosecuting theft of trade secrets and copyright infringement of computer

  • software, resulting in the granting of an injunction against the defendant.

Mr. Fuller founded VALUE Incorporated (VALUE) to serve as a premier firm in the application of valuation and economic theory. VALUE provides valuations of businesses, securities and intellectual property for a variety of purposes including mergers and acquisitions, financial reporting, tax reporting and litigation. VALUE also provides services aimed at accelerating the value creation process. Mr. Fuller has performed analyses in many industries, including: aerospace and aviation, banking and finance, business services, construction, data services, distribution, electronics, healthcare, high-tech, hospitality, manufacturing, media, oil and gas, publishing, restaurant, retail, securities, software, telecommunications, transportation and public utilities. His clients include small and mid-market businesses, major corporations, and government agencies.

David Fuller has consulted extensively in the financial and valuation fields for 15 years. Prior to forming VALUE Incorporated, he was managing principal of a national financial valuation firm and a manager in the valuation practice of a global accounting & consulting firm.

Mr. Fuller has been published on several occasions in a variety of industry and trade journals as well as having lectured on valuation topics and assisted with teaching graduate level courses relating to valuation issues. David has testified on numerous occasions in deposition and trial settings in a variety of federal and state courts.

Mr. Fuller earned his MBA with a concentration in finance from Southern Methodist University in 1989. He also holds a Bachelor of Arts degree in Liberal Arts with concentrations in economics and finance from Austin College. He is an active member of several local and national professional organizations, including the CFA Institute, the Dallas Society of Financial Analysts, the American Society of Appraisers and Financial Executives International. He also serves as a member of the Associate Board of the Cox School of Business.

Professional experience

Kin Gill is a Principal in the Austin office of Fish & Richardson P.C. His practice focuses on corporate and securities law, representing both public and private companies in a full range of matters including: public offerings and private placements of securities; venture capital investments; mergers, acquisitions and dispositions; entity formation and governance; and general securities law compliance. Mr. Gill has particular experience in advising start-up and emerging growth companies, companies in the energy industry and sponsors and participants in consolidation transactions.
