Mr. Nemerov has over
25 years of experience developing and implementing executive compensation
plans, and other pay-for-performance programs. Most recently served as a
senior practicing consultant for top firms ranging from “boutiques” to Big
Five, providing regional and national practice leadership. Serves Fortune
500 companies, closely held, tax-exempt and emerging growth companies. Works
with management and Boards to align total compensation programs to company
and governance objectives.
Completed total compensation reviews for public, closely held and tax-exempt
companies covering executives and employee groups for purposes of
determining compensation reasonableness (including Intermediate Sanctions)
or as part of litigation, served as expert witness in matters of dispute.
Mr. Nemerov developed annual and long-term executive incentive compensation
programs for public and closely held companies, and professional services
firms including equity incentives, as well as phantom stock arrangements. He
developed pay-for-performance program for executives and specialized key
employee groups (e.g., investment bankers, sales forces, key technology
employees) and he also developed compensation programs that address
specialized business situations, including mergers, joint ventures, IPO’s,
spinouts, and bankruptcies.
Mr. Nemerov completed “Top 5” analyses, including total compensation, equity
incentive opportunities, and general plan provisions (e.g., change
in-control, stock option granting guidelines, etc.), typically requiring
board review and public disclosure.
