Lake Oswego, OR (March 10, 2008) - In today’s
society, increased scrutiny of corporate leadership makes serving on a board of
directors more challenging and strenuous than ever. To bring some of these
issues to the forefront, the AeA Oregon Council announced today that it is
launching a new series of programs to help corporate boards address and meet
these challenges. Billed as “Good Governance Matters,” the set of four programs
will focus on best practices for directors of public and private companies.
"Solid leadership on company boards is more important than ever before, given
the increased demands of investors and the public for transparency and
integrity,” said Oregon State Treasurer Randall Edwards. “I commend the AeA for
taking leadership in offering this program. It fills a vital need in the local
area.”
The first event will be held on Tuesday, March 18, from 7:30 a.m. to 10:30 a.m.
at the Oregon Zoo Skyline Banquet Room in Portland. Denise Amantea, Senior Vice
President at Woodruff-Sawyer & Co., will speak on the changing roles and
responsibilities of the board. She will also lead a panel discussion featuring
Bill Lattin and Duane MacDougall, who each serve on a number of local boards,
and Rick Wills, chairman of Tektronix Inc.
“Many companies can benefit from this educational opportunity,” said Steve
Sharp, chairman of TriQuint Semiconductor. “This series fills a local education
gap for board of directors’ members. It allows them to continue to increase
their knowledge to lead and govern more successfully. The AeA believes Good
Governance Matters.”
Each three-hour breakfast event will give seasoned professionals the opportunity
discuss topics with expert panelists. This series is a RiskMetrics Group
Institution of Shareholder Services (ISS) accredited Director Education Program.
Topics to be discussed are:
· “The Changing Role and Responsibilities of the Board” (March 18);
· “The Governance of Corporate Strategy” (April 29);
· “Best Practices for Boards in Executive Compensation” (May 20); and
· “What Part Does the Board Play in Executive Succession Planning?” (June 17).
Directors, CEOs, CFOs, corporate secretaries, and in-house counsel are
encouraged to attend. The cost for each event is $100 for AeA members and $150
