Learn from experienced Board members and an industry professional as they discuss best practices, concerns and lessons learned in emerging governance issues surrounding executive compensation.

Kirby serves on several boards including, OHSU’s governing board; the public company boards of Merix Corporation and Itron Corporation; plus three local private company boards.

Scott Grout, President and Chief Executive Officer, RadiSys Corporation
Scott joined RadiSys in 2002. Prior to joining RadiSys, Scott was President and Chief Executive Officer of Chorum Technologies, Inc. Prior to Chorum, Scott was with Lucent Technologies for 14 years, where he held a number of engineering, marketing and management positions including Vice President of the Optical Networking Group, a multi-billion dollar business unit.

Kay Stepp, Chair of the Board, Providence Health System, Planar
Board Member and Chair of the Compensation Committees for StanCorp and
Franklin Covey
Ms. Stepp currently is chair of the board of Providence Health System. Ms. Stepp has also served as a Director of Planar since November 1998 and Chairs the compensation committees of two other public companies -- StanCorp and Franklin Covey.

Danielle specializes in assisting public companies with their corporate governance and securities regulation, reporting and compliance needs. Her practice also focuses on advising public and emerging growth companies, as well as individual executives, with respect to stock-based executive compensation design and interpretation issues, including for securities offerings, M&A transactions, and ongoing securities compliance and disclosure obligations.
